SEC Charges Founder and His Two New Jersey-Based Companies in Alleged $16 Million Ponzi Scheme
The SEC charged a founder and his two New Jersey-based companies with operating an alleged $16 million Ponzi scheme that raised funds from more than 200 inexperienced investors, primarily Christians of Ghanaian heritage, from at least January 2020 to March 2026. According to the complaint, the founder allegedly misappropriated more than $5.8 million for personal expenses, used approximately $6.6 million to make Ponzi-like payments to earlier investors, and engaged in high-risk day trading that resulted in over $750,000 in losses, despite promising investors guaranteed fixed returns and a low-risk strategy.
Why it matters: The SEC filing initiates civil enforcement in federal court seeking injunctions, disgorgement, and penalties against the defendants for securities law violations.

Proposed $125M Settlement Agreement Provides Critical Work for Advancing the Lower Passaic River Superfund Cleanup
The U.S. Department of Justice, on behalf of the Environmental Protection Agency, lodged a proposed $125 million settlement agreement with Environmental Resource Holdings LLC to perform cleanup work at the Diamond Alkali Superfund site in the Lower Passaic River. Under the consent decree, ERH would construct an upland processing facility and support facilities to enable dredging and capping work, sample the lower 8.3 miles of the river, and reimburse EPA for oversight costs. The proposed consent decree was filed in U.S. District Court for the District of New Jersey and is subject to a 30-day comment period.
Why it matters: The settlement moves forward a cleanup project at one of the oldest Superfund sites and requires a potentially responsible party to fund infrastructure and baseline studies necessary for in-river remediation work.

Main Street Mortgage Group, Corp. v. Tran
The Massachusetts Appeals Court affirmed a judgment denying Main Street Mortgage Group a new certificate of title to a Randolph property after it completed a foreclosure by entry. The court ruled that Main Street's sole shareholder failed to disclose the mortgage interest in his personal bankruptcy petition, and the doctrine of judicial estoppel therefore precluded Main Street from asserting rights obtained through the foreclosure.
Why it matters: The decision establishes that a mortgagee's otherwise valid foreclosure by entry can be barred by judicial estoppel if the mortgagee's shareholder concealed the interest in bankruptcy proceedings.

Hello Farms Licensing MI, LLC v. GR Vending MI, LLC
The United States Court of Appeals for the Sixth Circuit reversed a jury award of $31.8 million to Hello Farms Licensing MI, LLC, finding that federal courts cannot enforce a contract for the sale of marijuana between a Michigan grower and a vending company, even though both parties complied with Michigan state law legalizing marijuana. The court held that despite Michigan's legalization and recent federal rescheduling of certain marijuana products to Schedule III, the contract's underlying subject matter remains illegal under federal law.
Why it matters: This decision affects marijuana businesses operating under state law by establishing that federal courts will not enforce contracts for marijuana sales, regardless of state legalization, potentially leaving businesses without judicial remedies for breach.

In Re Jpk Newco, LLC
The U.S. District Court for the District of Columbia vacated a bankruptcy court order denying a motion to dismiss JPK NewCo, LLC's Chapter 11 petition for lack of good faith. The district court held that the bankruptcy court incorrectly applied the Fourth Circuit's Carolin test, which requires proof of both objective futility and subjective bad faith intent, finding this standard more stringent than the Bankruptcy Code requires.
Why it matters: This interlocutory appeal establishes the legal standard for dismissing Chapter 11 petitions on bad-faith grounds and remands the case to the bankruptcy court for reconsideration under the correct standard, affecting how bankruptcy courts evaluate debtor good faith in reorganization cases.
